BE IT ENACTED by the Parliament of the Cook Islands in Session assembled and by the authority of the same as follows:

This Act may be cited as the Primary Producers Federation Amendment Act 1987 and shall be read together with and deemed part of the Primary Producers Federation Act 1980 (hereinafter referred to as "the principal Act").

The provisions of the Constitution of the Federation referred to in the first column of the Schedule to this Act are amended in the manner set out in the second column of the Schedule to this Act.

(1) Notwithstanding anything contained in this Act, the principal Act, or the Constitution of the Primary Producers Federation, and for the purpose of enabling new members to be admitted to the Primary Producers Federation, the Minister of Agriculture shall, within 1 month after the coming into force of this Act in writing appoint a board of 5 directors of the Federation who shall within one month of such appointment call a public meeting for the purpose of receiving applications for membership of the Federation, and after considering those applications and approving such of those applications as those directors think fit in the best interests of the Federation, shall then within one month of the public meeting hold a meeting of the members of the Federation.

(2) At the meeting of the members of the Federation called by the directors pursuant to subsection (1), those directors shall vacate office (but shall be eligible for re-election), and the members shall thereupon at that meeting appoint a board of directors in the manner provided in the Constitution of the Federation. Every director appointed at that meeting shall thereupon be deemed to have been validly elected and shall hold office until the next annual general meeting of the Federation.

Rule B (2)	By inserting after paragraph (q), the following paragraph -
	"(r) to enter into arrangements and contracts of all kinds with any company, society, body corporate or person for the purposes of better attaining or furthering the objects of the Federation."
Rule C	By deleting subclauses (1) and (2) and substituting the following subclauses -
	"(1) The Federation shall consist of members each being a person or body corporate of any kind engaged or interested in any manner in the objects of the Federation.
	(2) New members shall be admitted upon election by a majority of the Directors present at a meeting of the directors, but no applicant for membership shall be considered for membership without that applicant first making written application."
Rule G	By:
	(a) Amending subclause (1) by adding after the words "a board of", the word "five"; and, (b) Repealing subclause (2) and substituting the following subclause -
	"(2) The Board may from time to time appoint such subcommittees as it deems necessary or desireable in the interests of the Federation and may at any time dissolve any such sub-committee. Any subcommittee so appointed may have as a member any member (including a director) of the Federation and with the consent of such persons, person's who are not members of the Federation. Provided however that any such subcommittee shall have as a majority of its members, members or the Federation."
Rule H	Repealed.
