WHEREAS the Congregational Council for World Mission (formerly the London Missionary Society) and the Cook Islands Christian Church have agreed that the responsibilities hitherto held by the London Missionary Society Corporation in respect of property within the Cook Islands should be permanently and legally transferred to the Cook Islands Christian Church: AND WHEREAS in order to effect such transfer it is required to grant legal status to the said Cook Islands Christian Church:

BE IT THEREFORE ENACTED by the Legislative Assembly of the Cook Islands in Session assembled, and by the authority of the same, as follows:

1. Short Title - This Act may be cited as the Cook Islands Christian Church Incorporation Act 1968-69.

"Church" means the Christian Church body known as the Cook Islands Christian Church:

"Society" means the London Missionary Society or the London Missionary Society Corporation.

3. Incorporation of the Church - The Church shall henceforth be a body corporate by the name of the Cook Islands Christian Church incorporated with perpetual succession and with power to make by-laws and such alterations in the constitution of the said Body Corporate as may from time to time be found necessary and with power to acquire, accept, hold, manage, control and, subject to this Act, grant, transfer, mortgage, charge, demise, sell surrender or otherwise dispose of, exchange create or reserve easements over or otherwise deal with any real or personal property and capable of suing and being sued in its corporate name and capable of doing or suffering all such acts and things as bodies corporate may by law do or suffer.

4. Common Seal - The Body Corporate shall have a common sea kept in the custody of the Secretary or such other person or officer as may from time to time be appointed for this purpose by the said Body Corporate, and such seal shall be affixed to any document after resolution of the appropriate committee of the Body Corporate as set out in the constitution thereof for the time being and shall be witnessed by such persons as may be also fixed by the said constitution.

(2) Judicial notice shall be taken of the seal of the said Body Corporate affixed to any document or notice and the fact that such seal appears upon any document shall be conclusive evidence that the same was duly affixed thereto.

5. Membership of the Body Corporate - The present members of the assembly of the Church shall be the first members of the Body Corporate and shall hold office for the period and on the basis set out in the constitution of the Church.

6. Constitution - The constitution set out in the First Schedule hereto shall be the constitution of the Body Corporate and may be amended from time to time in accordance with the provisions set out in the said constitution.

7. Vesting of Property - All the estate right title and interest both legal and equitable in and to the land as set out and described in the Second Schedule to this Act now vested in any person upon trust for or on behalf of the Church or the Society or vested in the Society, is by virtue of this Act without the necessity for any formal deed of assurance, divested from such person and from the Society respectively and vested in the body corporate subject to any conditions contained in the original grant or any lease in relation to the said land and shall be held upon trust and dealt with for the purpose of carrying on, benefiting, advancing, extending or making more effectual the working and objects of the Church.

8. Liabilities - Any mortgage or other liability on or over any land in the name of the Society or of any person or persons holding any land or any estate or interest in land in trust for the Society shall pass to and become the liability of the Body Corporate.

9. Powers of Body Corporate - (1) Subject to the provisions of section 10 hereof the Body Corporate shall hold all property vested in it upon trust to use and appropriate it or permit the use and appropriation of it or deal with it for the purposes of the erection and maintenance of churches, houses, hospitals, schools and other buildings, and for other purposes in connection with or for the benefit or maintenance of or the furtherance of the objects of the Church and no person dealing with the Body Corporate shall be bound to enquire into the propriety or necessity of any such dealing.

(2) Subject to the provisions of section 10 hereof the Body Corporate has power -

(a) From time to time to purchase, take on lease or acquire by gift, devise, exchange or otherwise, real and personal property:

(b) To sell the Church property (other than land) or any part or parts of it, either together or in parcels, by public auction or private contract, for cash or on credit, on such terms and subject to such conditions as it thinks fit:

(d) To transfer and assure the Church property when sold or exchanged to the purchaser or purchasers or to the person taking the exchange, freed and discharged from trusts affecting it:

(e) To raise sums of money when and on such terms as it thinks fit, by deposit of the deeds or by mortgage, with or without power of sale, of the Church property or any part or parts of it and to execute all proper assurances for that purpose:

(f) To demise and lease the Church property or any part or parts of it for such periods at such rents and upon such terms and conditions as it thinks fit.

10. Continuance of trusts, conditions and restrictions - Nothing contained in the Act shall affect or be deemed to affect the trusts, conditions or restrictions declared or imposed by the original grant, dedication or gift of any property of the Church or the Society or the provisions of any ordinance under which lands forming part of the property of the Body Corporate have been granted or leased.

11. Transactions by or with the Body Corporate - (1) Upon the sale, mortgage, lease or other dealing by the Body Corporate of or with any real or personal property, a purchaser, mortgagee, lessee or other person dealing with the Body Corporate shall not be bound in any way to inquire into the necessity or propriety of the sale, mortgage, lease or other dealing or the purposes for or the circumstances in which the Body Corporate proposes to enter into, make give or execute a sale, mortgage, lease or other dealing.

(2) A purchaser, mortgagee, leases or other person dealing with the Body Corporate shall not be bound in any way to inquire into the regularity of the sale, mortgage, lease or other dealing.

(3) Notwithstanding an irregularity or impropriety in a sale, mortgage, lease or other dealing, a sale, mortgage, lease or other dealing purporting to be made by the Body Corporate shall, as regards the purchaser, mortgagee, lessee or other person dealing with the Body Corporate and shall be valid accordingly.

The Bible reveals the facts of our faith, and is supported by Christian experience through the ages. We believe that God created the world and man, and that His purpose eternally is for men to live as His children; that He came into the world in Jesus Christ who lived and died and rose again for our salvation; and that He works still through the Holy Spirit so that all men may be brought into His Kingdom. We believe that men can find everlasting life only through faith, which is shown in repentance, and through the forgiveness and grace which God in His love offers to the world; and this new life in Christ means a continual obedience to the will of God. We believe that God calls His people together to form the Church, which lives to worship Him and proclaim His Gospel in word and deed until the end of all things when Christ will rule all men.

The name of this Church in the Cook Islands be the COOK ISLANDS CHRISTIAN CHURCH.

The Church so named in composed of those various local Christian communities in the Cook Islands which stand in what is commonly known as the Reformed or Protestant traditions, and which were founded and established as a result of the labours of missionaries of the London Missionary Society (now the Congregational Council for World Mission) and of the Cook Islands Pastors, teachers and others who through many years have served in the name of Jesus Christ to make known the Gospel of His redeeming love and to build the community of his disciples. During the years since the Gospel was first preached in the Cook Islands a tradition of things done and accepted by all the churches has grown up. Part of that tradition is that the missionary of the L.M.S. now C.C.W.M. has authority over Pastors and Churches. The purpose of this constitution is to enable the Church to take responsibility for its own life and work. This transfer is bound to be a gradual process and depends on the growth and will of the Assembly. The missionary of the C.C.W.M. shall, therefore, continue to exercise authority over the appointment and discipline of pastors until the Assembly, with the agreement of the C.C.W.M., decides that the Church should assume this responsibility.

The Church receives as members all those who, having been baptised and instructed in the Christian faith, publicly profess their faith in Jesus Christ. The Church receives also those who transfer membership from any other Protestant Church (that is those churches in fellowship with the World Council of Churches). The Church believes that all members share equally in the gifts of the Gospel and in the responsibility of fulfilling God’s will in worship, in evangelism and in Christian living. Pastors and Deacons are equally members of the Church and their titles indicate the work they have been called to do. We believe that all members of the Body of Christ are thus in fact "a royal priesthood"

The Church shall appoint to the ministry those who are called of God and who reveal the gifts and abilities needed for the leadership of His people.

All candidates for the Ministry and, for entrance into Takamoa college shall be dealt with in the following way:

(a) They must be approved after the most careful consideration possible by their Church, and where applicable by the Island Church Council:

(b) They must pass an entrance examination set by their college and their entry into Takamoa must be approved by the principal:

The authority of the Principal of Takamoa is final in the matters of college discipline. He shall make a full report of College life and work, including admissions and dismissals, at each meeting of the Standing and Executive Committees and the Assembly.

While every endeavour will be made to appoint students, who have satisfactorily completed their training, to pastorates, it may be necessary for them to return to their islands and wait some time for an appointment.

Students from other Theological Colleges may be admitted as Pastors if the Assembly approves.

The Assembly is responsible for the payment of a regular stipend to Pastors who are appointed by the Assembly to serve in a Church. The local Church is responsible for the continual support of Pastors by prayer and fellowship, and by contributing to Assembly funds, and by gifts of food to the amount laid down by the Assembly.

The Executive Committee and, in the case of emergencies, the Standing Committee are authorised to transfer Pastors from one Church to another. The normal term of service in one Church is four years. At the time of a general transfer of pastors the Executive Committee will prepare a list of the proposed changes. All churches and pastors will be informed of what is proposed. If Churches and pastors so wish they may make comments on the changes, showing in what way they consider the will of God could be better served. The Committee will consider the list of changes in the light of comments made, and may make amendments to the list. The decision of the committee will be final.

The normal retiring age is 65. Pastors may serve after this age only at the invitation of the Assembly. The Assembly may retire Pastors at any time if it is considered that bad health or unfairness in other ways make this desirable. All pastors and churches will contribute to the Pastors' Pension Fund, as laid down by the Assembly in the Pastors' Pension Scheme.

It is the aim of the Church that each congregation shall have a pastor who shall be ordained following training at Takamoa College or at any other Theological College recognised by the Assembly. The Pastor is recognised as the Shepherd of the flock, the teacher in spiritual things, and the Chairman of the Deacons' Meetings and Church Meetings. He is appointed by the Assembly, which pays his stipend; the local Church is responsible for his house, furnishings and the provision of food to the amount laid down by the Assembly. The Pastor is to care for the pastor's house and furnishings.

If the Church so desires, an Assistant Pastor may be appointed by the Church Meeting from among the members or deacons. He will be qualified by his Christian life and by training under the pastor or at Takamoa College. He will act as Pastor in the absence of the Pastor of the Church. The appointment to be effective will be approved by the officers of the Assembly. An Assistant Pastor may be suspended by the Wish of the Church Meeting, if it believes that he is no longer fitted to act as a leader of Christ's people.

If a Church does not wish to choose an assistant pastor, then during the absence of the Pastor or during a vacancy one deacon will be chosen by the Church Meeting to act as Chairman. Such an appointment is unpaid and temporary and ceases with the return of the Pastor. The Chairman will care for the mission house and will arrange for the services of worship.

Each local Church shall select by the Church Meeting not more than twelve deacons from among the members. They shall be chosen by ballot by the members of the Church. They shall be men and women of truly Christian life. They will hold office for three years but will be eligible for re-election if the Church so wishes. The deacons will hold regular meetings, not less than twelve times a year, with the Pastor as Chairman, and will elect from among the diaconate a Secretary to keep minutes and a Treasurer to keep Church accounts. The deacons are to assist the Pastor in the pastoral care of the Church and to carry out any duty given to them by the Church Meeting. A deacon may be suspended by the wish of the Church Meeting if it believes that he is no longer fitted to act as a leader of Christ's people.

If a deacon leaves his church and is absent for six months or more then the Church Meeting may accept this as resignation from the diaconate. The Church recognises the right of a deacon to be absent for health or other serious personal reasons.

Deacons who have proved themselves by over 25 years of faithful service may be elected to hold the office for life. Such life Deacons may continue to meet with the deacons.

A meeting of all Church members under the Chairmanship of the Pastor will be held not less than four times a year. This meeting will hear reports from the Pastor, the Treasurer and from leaders of the Church organisations. This meeting makes decisions about the acceptance of new members, the election of deacons and other officers. It is an opportunity for all members to express their views on the work of the Church. It is the purpose of this meeting to seek the will of God in all Church affairs.

Each local Church will have a Sunday School for the training and Christian care of the children and young people. The Church Meeting will approve the appointment of teachers in the Sunday School, and they will meet regularly with the Pastor to plan the training to be given.

(a) The Boys' Brigade: Where there is a Boys' Brigade Company it shall be a part of the Church. The pastor shall be the Chaplain of the Company and he will exercise supervision over the spiritual training of the boys. He will be a member of the company committee together with two deacons elected by the diaconate, the company Captain and two officers elected by the officers. This committee shall deal with matters of discipline, the future development of the company and the relationship of the company with the church. Any dispute in the company or any discipline of an officer will be referred to the Battalion Presidents:

(b) The Girl Guides: The Church recognises the Girl Guide movement as being most suitable for its girls, and encourages all Churches to assist Guide companies in their work:

(c) Youth Clubs: The Church recommends that an activity in the form of a mixed youth club be encouraged to help its young people between the ages of 18 and 30.

All Churches will keep strict accounts of all monies received and spent on behalf of the Church. These accounts will be audited annually by a person appointed by the Church Meeting. Church money will be kept in a banking account for the operation of which two signatures will be required. As an alternative to this it is permissible that the Church money be held by the C.I.C.C. Treasurer or the C.C.W.M. Treasurer.

The deacons' meeting has the responsibility of helping members if they fall into sin to return to a Christian way of life. The Deacons' Meeting has the authority to suspend a member for any length of time if all efforts at bringing about a change of heart have failed.

In an island where there is more than one local church there shall be an Island Church Council representing all the local churches. The Council shall meet at least twice a year. The council shall consist of the Pastor of each Church, two deacons and one church member from each church elected by the Church Meeting, and retired pastors and officers of the Assembly and members of the Executive and Standing Committee residing in that island. Each Council shall elect annually its Chairman and Secretary.

The work of the Council is to encourage and plan ways in which the Churches of the island can work together for the deepening of the spiritual life and the preaching of the Gospel.

The Council may not discuss the affairs of one individual Church, unless that Church brings the matter forward. It will support decisions of the Assembly and may bring forward subjects for discussion at the Assembly. It will hear reports from the Churches of appointments to the diaconate, and if it desires may recommend that an appointment be re-considered by the Church Meeting concerned.

So that the various congregations of the Cook Islands Christian Church may express more completely their union in worship and life, and so that they may gather greater unity and strength for the development of the Church and for the proclamation of the Gospel, the one central and governing body shall be the assembly of the C.I.C.C.

(a) Ex-Officio - Missionaries of the C.C.W.M. serving in the Cook Islands; the Pastor of each Church; the elected officers of the Assembly:

(b) Elected - A representative of each Church elected by ballot by the Church Meeting. This election shall take place six months before the Assembly meeting.

(b) Elected - The President, the Secretary, the Treasurer who will be elected by the Assembly at each of its meetings, together with such other officers as the Assembly shall from time to time appoint. All these officers shall be eligible for re-election if the Assembly so wishes. Two of the Officers shall be chosen by the Standing Committee as Trustees who may act for the C.I.C.C. in legal matters.

(a) The Executive Committee: It shall consist of Officers of the Assembly, two Assembly members from Rarotonga, one from Aitutaki and three from other outer islands, who shall be elected by the Assembly. The quorum shall be six. The Committee shall meet when called by the Secretary. The Executive Committee is to act on behalf of the Assembly between meetings of the Assembly and is to be responsible for carrying out decisions of the Assembly and will prepare business for the Assembly. This committee will arrange for the transfer of Pastors at the end of their pastoral term. See section 5(c):

(b) The Standing Committee: It shall consist of Officers of the Assembly together with one Assembly member from Rarotonga chosen by the Assembly from the Executive Committee. The Standing Committee shall deal with all emergency matters that may require attention in the intervals between meetings of the Executive and the Assembly. Such emergency matters shall include such pastoral appointments as may be made necessary by death, illness or retirement in the intervals between meetings of the Executive and the Assembly.

Normally the Assembly will meet every two years. The place and date of meeting will be decided by the Assembly of the Executive Committee and notice given to the Churches one year before the meeting of the Assembly is to be held.

The Executive Committee shall prepare the agenda for the Assembly. This agenda shall include the presentation by the Treasurer of audited accounts and balance sheet of all Assembly financial affairs, but details of matters arising may be arranged by the Standing Committee. Individual churches and Island Church Councils may send in for the consideration of the Executive items for inclusion in the agenda. No other matters save those on the agenda shall be discussed by the Assembly except by the consent of two-thirds of the members present and voting.

All major matters to be effective must be passed by two-thirds of the members present and voting. Decisions so reached shall be binding upon the Churches. The President shall decide whether a question is a major one or not.

Although it is hoped to have the use of the "John Williams" at the time of the Assembly, it is the responsibility of the Churches to pay the expenses of their pastors and delegates attending Assembly or Executive meetings.

Amendments to this Constitution may be made or new sections proposed, but the amendments must be sent in writing to the Secretary one year before the Assembly. The Secretary shall give notice in writing to all the Churches of the proposed alterations or new sections.

1.	AVARUA	(A)	Allotment 42 Tapere of Takuvaine, freehold by gift, containing more or less 8.79 ARS situated between the main road and high water mark, being all the land described in the Certificate of Titles Volume 1 Folio 67. Conditions: That the land shall be used as a site for the place of residence of the native Missionary of the London Missionary Society.

			Conditions: That the land shall be used for the benefit of the missionaries of the London Missionary Society.
